Terms & Conditions
Effective date: June 22, 2026
Last updated: June 22, 2026
These Terms & Conditions (“Terms”) govern your use of clictadigital.com and any content, tools, or resources we make available through it (the “Site”). The Site is operated by Clicta, Inc., a Colorado corporation (“Clicta,” “we,” “us,” or “our”).
By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Relationship to client agreements
These Terms govern use of the Site only. They do not govern any client engagement.
Client engagements are governed exclusively by an executed Master Services Agreement and one or more executed Order Forms. Scope, fees, term length, renewal, cancellation, refunds, deliverable ownership, and every other commercial and legal term of an engagement are set out in those documents.
In the event of any conflict or inconsistency between these Terms and an executed Master Services Agreement or Order Form, the executed agreement controls in full. Nothing on this page modifies, supplements, or creates any right or obligation under an executed agreement. Nothing on this page constitutes an offer, a quote, or a binding commitment on pricing, timing, scope, or outcomes.

4. Intellectual property

5. Your submissions
When you submit information through a form, subscribe to our email programs, request a consultation, or otherwise send us content, you represent that:
- The information you provide is accurate
- You have the right to provide it
- Your submission does not infringe anyone’s intellectual property, privacy, or other rights
You grant us a non-exclusive, royalty-free license to use, reproduce, and act on your submission for the purpose of responding to you and operating our business.
Do not send us confidential information through the Site. A submission through the Site does not create a client relationship, and information you send before an executed agreement is not subject to confidentiality obligations unless we have signed a separate non-disclosure agreement with you.
6. Free resources, guides, and tools
We make guides, templates, calculators, checklists, and similar resources available at no charge. These are provided for general informational purposes only, on an as-is basis.
Free resources are general in nature and are not tailored to your business. They are not a substitute for professional advice. We make no representation that any resource is current, complete, accurate, or suitable for your circumstances.
7. Marketing communications
If you provide your email address, you may receive marketing communications from us. Every marketing email includes an unsubscribe link. See our Privacy Policy for details on how we handle your information and how to opt out.
8. Third-party links, platforms, and content
The Site links to third-party websites, platforms, and resources we do not own or control. We provide those links for convenience. We do not endorse and are not responsible for the content, products, policies, or practices of any third party. Your use of a third-party site is governed by that site’s terms and privacy policy.
9. Service policies summary
The following is a plain-language summary provided for your convenience before you engage us. It is a summary only. The executed Master Services Agreement and Order Form govern, and control in any conflict, as stated in Section 1.
- Payment in advance. All fees are payable in advance. We do not begin work, including onboarding and strategy, until payment is received. We do not extend net terms except for state or federal government entities.
- Initial term. Engagements carry a six month initial term. This is a material term.
- Automatic renewal. Engagements renew automatically for successive six month terms unless either party gives written notice of non-renewal at least thirty days before the end of the then-current term.
- Fees are non-refundable. Value is delivered on commencement of services, including strategy, research, account setup, and professional judgment, not solely on delivery of a final deliverable.
- Early termination. A client may terminate for convenience at any time. Doing so requires either payment of a portion of the remaining fees for the then-current term or transition of the remaining balance to other Clicta services, at the client’s option, as set out in the Master Services Agreement.
- Review windows. Strategies, plans, and deliverables submitted for client review are deemed approved or accepted if the client does not respond within the review period specified in the Master Services Agreement.
- Disputes before chargebacks. Clients agree to contact us in writing and allow thirty days to resolve a concern before initiating any chargeback or payment dispute.
- Late payment. Past due balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
- Ad spend. Advertising spend is separate from fees. Where a platform bills the client directly, the client pays the platform. Where a platform bills Clicta, the client pre-funds the spend.
10. Performance disclaimers
Digital marketing produces results through third-party platforms and audiences that we do not control. We want to be direct about what we can and cannot promise.
No guarantee of results. We provide professional marketing services based on industry best practices, established methodologies, and reasonable professional judgment. We do not guarantee any specific result, outcome, or performance metric.
No guarantee of search rankings or AI search visibility. Search rankings, AI search visibility, and organic performance are determined by third-party algorithms operated by Google, Microsoft, OpenAI, Perplexity, and others. We have no control over them. We do not guarantee any ranking, visibility level, or traffic outcome.
No guarantee of advertising performance. Impressions, clicks, click-through rates, cost per acquisition, conversion rates, return on ad spend, and similar metrics depend on auction dynamics, competitor activity, audience behavior, creative performance, and market conditions. We do not guarantee any advertising outcome.
No guarantee of media placement. Public relations, digital PR, and link building outcomes depend on the editorial judgment of third-party publications, journalists, and editors. We cannot guarantee placement in any specific publication, including tier-one outlets.
Platform and algorithm changes. Search engines, social platforms, and advertising platforms regularly change algorithms, policies, advertising rules, content guidelines, and account requirements. Those changes may affect performance, visibility, or account status. We are not responsible for the impact of third-party platform changes, algorithm updates, policy enforcement, or account suspensions.
Case studies and results shown on this Site. Any results, metrics, or case studies presented on this Site reflect the outcomes of specific engagements under specific conditions. They are not a prediction, projection, or guarantee of the results you will achieve.
11. No professional advice
Content on this Site is provided for general informational purposes. It is not legal, financial, tax, accounting, regulatory, or compliance advice, and it does not create any professional relationship. Consult a qualified professional before acting on anything you read here.
12. Disclaimer of warranties
THE SITE AND ALL CONTENT, RESOURCES, AND TOOLS ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ITS SERVERS ARE FREE OF HARMFUL COMPONENTS.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CLICTA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
This Section 13 applies to Site use only. Liability arising from a client engagement is governed by the limitation of liability provisions of the executed Master Services Agreement.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Clicta and its officers, directors, employees, agents, and contractors from any claim, demand, loss, damage, liability, cost, or expense, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.
15. Privacy
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.

- A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

17. Accessibility
We are working to make the Site accessible to as many people as possible, using the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA as our reference standard. Accessibility is an ongoing effort and we recognize that some areas of the Site may not yet fully conform.
If you encounter a barrier, email info@clictadigital.com or call 720-772-8297 and describe the issue and the page where you found it. We will work to resolve it and to provide the information you need through an alternative method in the meantime.
18. Governing law and dispute resolution
These Terms are governed by the laws of the State of Colorado, without regard to conflict of laws principles.
- Good faith negotiation. In the event of any dispute arising out of or relating to these Terms or the Site, the parties will first attempt to resolve the matter through good faith negotiation for at least fifteen business days.
- Mediation. If negotiation does not resolve the dispute, the parties agree to attempt mediation with a mutually agreed mediator located in or willing to conduct mediation in Denver County, Colorado, with costs shared equally. Mediation is a condition precedent to litigation, except that either party may seek immediate injunctive or equitable relief in court.
- Jurisdiction and venue. If mediation does not resolve the dispute within sixty days of commencement, either party may initiate litigation. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Denver County, Colorado.
- Attorneys’ fees. In any proceeding to enforce these Terms, the prevailing party is entitled to recover reasonable attorneys’ fees and costs.
19. Class action waiver
You agree that any dispute arising out of or relating to these Terms or the Site will be brought in your individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative action. The parties expressly waive any right to participate in class-wide litigation or representative actions.
20. Force majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, cyberattacks, ransomware events, third-party platform outages, platform policy changes, and algorithm changes.
21. Changes to these Terms
We may revise these Terms at any time by posting an updated version on this page and changing the “Last updated” date. Changes take effect when posted. Your continued use of the Site after a change means you accept the revised Terms. Review this page periodically.
Changes to these Terms do not modify any executed Master Services Agreement or Order Form. Those documents can be amended only in writing signed by both parties.
22. General
- Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, sale of assets, or reorganization.
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clicta regarding your use of the Site. They do not supersede or modify any executed Master Services Agreement or Order Form, which govern client engagements as stated in Section 1.
